1. Acceptance of Terms
By accessing or using Vector Data Loader ("Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is provided by Bipath, LLC ("Company", "we", "us", or "our").
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Vector Data Loader is a document loading and synchronization service that helps users load documents from various sources into vector databases. The Service includes web-based tools, APIs, and related documentation.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree not to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or interfere with the Service
- Access the Service through unauthorized means
- Resell or redistribute the Service without authorization
5. Credits and Billing
Vector Data Loader uses a credits-based consumption model. You pay only for the resources you use, as measured in credits.
Credit Costs
- Document sync (standard processing): 20 credits per document ($0.20)
- Document sync (enhanced processing): 40 credits per document ($0.40)
- Re-sync (no changes detected): 5 credits per document ($0.05)
- Storage: 200 credits per GiB per month ($2.00)
Free Credits
Each organization receives 250 free credits per month. Free credits reset on the first day of each calendar month and do not accumulate. Unused free credits expire at the end of each month.
Purchased Credits
Credits purchased through the Service never expire and remain in your account until used. When credits are consumed, free credits are used first, followed by purchased credits.
You agree to keep billing information current and accurate for any credit purchases.
6. Credit Purchase Policy
All credit purchases are subject to the following terms:
- No Refunds: All credit purchases are final and non-refundable. By purchasing credits, you acknowledge that you will not be entitled to a refund for any unused credits.
- Non-Transferable: Credits are non-transferable between organizations or accounts. Credits may not be sold, traded, or otherwise transferred to any third party.
- Price Changes: We reserve the right to modify credit pricing at any time. We will provide at least 30 days advance notice of any price increases. Price changes will not affect credits already purchased.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Bipath, LLC and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any content you upload to the Service.
9. Termination and Account Closure
We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service will cease immediately.
Account Closure by User
Organization owners may close their account at any time through the Service settings. Account closure is subject to a 7-day grace period during which you may cancel the closure request.
Credit Forfeiture
Upon account closure or termination, whether initiated by you or by us:
- All remaining credits, both purchased and free, are permanently forfeited
- No refunds or credit transfers will be issued for unused credits
- This includes any credits remaining at the end of the 7-day grace period
We strongly recommend using your remaining credits before initiating account closure.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIPATH, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM YOUR USE OF THE SERVICE.
12. Changes to Terms
We may modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance.
